By accessing or using the Service, or by creating an account, you ("User" or "Client") agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree, do not use the Service.

1. Description of the Service

The Service provides automated analysis of contracts, legal documents, and related materials using artificial intelligence technologies. The analysis is informational in nature and does not constitute legal advice.

2. No Legal Advice Disclaimer

The Service is not a law firm and does not provide legal services. The Service and these Terms do not constitute legal advice, legal representation, or the practice of law. All outputs, insights, and recommendations generated by the Service are:

  • Generated automatically by artificial intelligence without human legal review

  • Not a substitute for professional legal advice from a qualified attorney
  • Not intended to create an attorney-client relationship

You acknowledge and agree that:

  • The Provider is not responsible for any decisions you make based on the Service's outputs

3. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

4. Account Responsibilities

  • All activities performed under their account

5. Acceptable Use

You retain full ownership of all documents and data you upload ("User Data"). By using the Service, you grant the Provider a limited, non-exclusive, and revocable license to process User Data solely for the purpose of delivering and improving the Service.

The Provider does not claim ownership of User Data.

7. AI Processing and Limitations

Users acknowledge and agree that:

  • Reliance on AI-generated analysis is entirely at their own risk
  • The Provider shall not be liable for any consequences resulting from reliance on the Service's outputs
  • They assume full responsibility for verifying any information provided by the Service
  • They will seek professional legal counsel before making any decisions based on the Service's outputs

8. Fees and Billing

If the Service is offered on a paid subscription basis:

  • Fees are billed monthly or annually as selected
  • Optional paid features require explicit opt-in
  • Pricing changes apply only to future billing cycles with prior notice

Failure to pay fees may result in suspension or termination of access.

9. Termination

Either party may terminate the use of the Service at any time, subject to any active subscription terms. Upon termination:

  • Access to the Service may be revoked
  • Outstanding fees remain payable
  • Data retention will follow our Privacy Policy

10. Limitation of Liability

To the maximum extent permitted by applicable law, the Provider shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, business opportunities, or goodwill
  • Decisions made based on AI-generated analysis or Service outputs
  • Any legal, financial, or business consequences resulting from use of the Service
  • Errors, omissions, or inaccuracies in the Service's analysis or outputs
  • Failure to identify risks, issues, or important information in analyzed documents

Total liability cap: The Provider's total liability to you for all claims arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by you to the Provider in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including but not limited to:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Statutory consumer rights that cannot be waived (e.g., in the EEA/UK)

11. Service Availability

We do not guarantee uninterrupted or error-free operation. The Service may be modified, updated, or temporarily suspended for maintenance or improvements.

12. Third-Party Services

The Service may rely on third-party infrastructure, hosting providers, or subprocessors. We are not responsible for outages or failures caused by third-party services.

13. Changes to Terms

The Provider may assign or transfer its rights or obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, with notice to you where required by law.

19. Force Majeure

The Provider shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control (e.g., natural disasters, war, terrorism, pandemics, government actions, or critical failures of third-party infrastructure), for the duration of such event.
